Responsibilities

Overall Purpose of Job:


Commercial Contracts and Warranty lead in AP and part of the Global Commercial Contracts and Warranty function. Support and advise all Asia Pacific sales teams on TRW Commercial Policy including: policy deployment; the project management of all commercial contract concerns raised by sales; the review and approval of master contracts; advising sales on quotations, nominations and PO responses; the review of warranty settlements and advising on warranty provisioning.


The scope of the role will cover the total project management of contract activities from: initial assessment (and arranging translation where applicable) of contracts, identification of potential concerns, team review (with sales, engineering, quality, operations, etc), solution advice, solution proposal and drafting, legal review; through to negotiation tactics, supporting sales in customer negotiations and final agreement and execution.   This role will also implement commercial process improvements and provide training to sales in the region as well as collate and organise all contracts centrally for the Asia Pacific region including entry into the global Contracts Database.


Major Responsibilities:


• Management of commercial contracts activity in AP region for all local manufacturers including contract review, negotiation and generation of formal written responses., Interface with global team members for global OEM related JVs ensuring consistency across ZF TRW.
• Full evaluation of commercial contracts (e.g. terms and conditions and warranty agreements) before and during Contract Review (B90).
• Collate, log, monitor and control commercial contracts activity in Asia Pacific (AP), including all AP master contracts in Contract Database. Ensure master contracts situation always up to date for sales reference.
• Produce regular summary reports on the active commercial contract projects in AP.
• Provide commercial advice to the sales teams on the process of contract approval, commercial policy and the basic principals of Chinese law
• Identify latest contractual activity and ensure that contractual concerns are raised and review at appropriate level within the ZF TRW organisation.
• Lead the review of commercial contracts with the Contract Review teams.
• Ensure legal review of all master contracts raised by sales prior to execution.
• Lead/Support on issues relating to Commercial Warranty Management (claims reviews, summarising warranty analysis data, commercial warranty settlements, disputes, drafting response letters, etc…).
• Arrange for the translation of key commercial documents, and where applicable provide technical translation from Chinese into English as well as ZF TRW changes (made in English) back into original Chinese version.
• Provide advise and support to sales on Quotations (B20), Nomination Responses (B25) and PO Responses (B100).
• Advise sales on any Commercial Policy questions raised within AP.
• Deploy Commercial Policy within the AP region (B18). 
• Liaison point for sales with external legal companies.
• Liaison between legal, sales, commercial, quality and operations.
• Support the continuous improvement of existing processes.
• Implement global process improvements into the AP region.
• Provide process related training to the sales teams in AP.  
• Manage and develop Commercial Contracts Analyst AP


Requirements

Key Competencies:


• Fluent in Chinese and English
• Good understanding of Chinese Law (understanding of Contract Law is an advantage)
• Flexible, self-motivated and an ability to work on own initiative
• Effective organiser and planner (structured and methodical working style)
• Excellent communication and interpersonal skills within all levels of the organisation
• Strong negotiation, persuasion and influencing skills
• A willingness to travel within China & AP region
• Ability to supervise and develop staff
• Ability to work as part of a cross functional team


Education and Experience:


• Educational: Degree level Commercial and / or Legal (Masters Level preferred but not essential).                                
• Experience: Minimum of 5-7 years of commercial and/or contractual experience preferred.   
• Attributes: Strong leader, Persuasive, analytical, structured and methodical working style.
